Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at acesolutions.group (the "Site") and any services provided by Ace Solutions Group, LLC ("Company," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

The specific scope, deliverables, pricing, and terms of any engagement are set out in a separate written Statement of Work or Service Agreement executed between the Company and the client. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement governs.

All content on the Site — including text, graphics, logos, images, page layout, and software — is the property of Ace Solutions Group, LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site content for personal, non-commercial informational purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content without our prior written consent.

All trademarks, service marks, and trade names used on the Site are proprietary to Ace Solutions Group or their respective owners.

In the course of an engagement, each party may disclose confidential information to the other. Both parties agree to keep such information confidential, use it solely for the purposes of the engagement, and not disclose it to third parties without prior written consent, except as required by law. Confidentiality obligations survive termination of any service agreement for a period of three (3) years.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACE SOLUTIONS GROUP, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Ace Solutions Group, LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

The Site may contain links to third-party websites for your convenience. We do not control, endorse, or assume any responsibility for such third-party sites or their content. Accessing any third-party site is entirely at your own risk.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any dispute arising under or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Prince William County, Virginia.

Before initiating any legal action, you agree to first attempt to resolve any dispute informally by contacting us at ops@acesolutions.group. We will endeavor to respond within 30 days.

12. Termination

We reserve the right to suspend or terminate your access to the Site at any time, for any reason, without notice. You may stop using the Site at any time. Provisions that by their nature should survive termination (including Sections 4, 5, 7, 8, 9, and 11) will survive.

13. Changes to Terms

We may revise these Terms at any time by posting the updated version on this page with a new "Last updated" date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We will provide reasonable notice of material changes.
